These Terms and Conditions (“Terms”) govern your access to and use of our website, mobile applications, digital courses, training programs, and related services (collectively, the “Services”).

By accessing our website or purchasing any of our Services, you (“User”, “you”) acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, please do not use our Services.

1. Agreement to Terms & Communications

1.1. By using the Services, you agree to comply with and be legally bound by these Terms, as amended from time to time.

1.2. By creating an account or making a purchase, you consent to receive newsletters, marketing materials, promotional offers, and service-related updates from us.

1.3. You may opt out of marketing communications at any time by clicking the unsubscribe link in our emails or by contacting us at hello@masterup.in.

2. Account Enrollment & Billing

2.1. To access certain Services, you must provide accurate, complete, and current information, including your full name, address, telephone number, email, and a valid payment method.

2.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.3. We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion — including in cases of product unavailability, pricing errors, or suspected fraudulent or unauthorized transactions.

3. Payments & Subscriptions

3.1. Official Channels Only: All payments for courses or Services must be made directly through the official MasterUp website (masterup.in) or our prescribed official payment channels/bank account.

3.2. No Personal Transfers: We do not authorize any affiliate, employee, or individual to collect cash or receive payments into personal bank accounts, UPI, PayPal, Paytm, or any other personal wallet. The Company is not responsible or liable for any payments made to unauthorized personal accounts.

3.3. Billing Accuracy: You agree to provide current, complete, and accurate billing details for all purchases.

3.4. Subscriptions (if applicable): Subscription-based Services are billed on a recurring basis until cancelled. You may cancel your subscription at any time; however, no refunds are provided for subscription fees already charged.

4. Refund Policy

4.1. Refund Window: Refund requests must be submitted within 24 hours of the original purchase. Any request made after this window will not be accepted under any circumstances.

4.2. Deductions: Approved refunds are subject to a 2% payment gateway fee and a 5% processing fee (a total deduction of 7% from the refunded amount).

4.3. Upgrades: If you purchase a plan and upgrade to a higher plan within the refund window, you remain eligible for a refund. Upgrading after the refund window forfeits refund eligibility.

4.4. Process: To request a refund, email hello@masterup.in from your registered email ID in the prescribed format.

5. Affiliate / Channel Partner Program (include only if you run one)

5.1. Free & Optional: Becoming an affiliate is completely free, optional, and does not require any additional payment. The amount paid by a customer is strictly for the online courses purchased.

5.2. Authorized Payments: Affiliates are strictly prohibited from accepting registration fees or payments into personal accounts. All transactions must go through official Company channels.

5.3. Anti-Poaching & Re-Joining: Affiliates may not switch teams or rejoin under a different sales manager. Violations may result in a 1-month ID suspension or permanent cancellation of the affiliate ID. Poaching other affiliates attracts progressive penalties (1-month suspension for the first offense, 3-month for the second, and permanent suspension with withholding of payouts for the third).

5.4. Prohibited Practices: Affiliates must not make false guarantees of jobs/internships, overpromise unrealistic income, misrepresent commission structures, or use fake testimonials.

6. Intellectual Property & Content Usage

6.1. All original content, features, courses, materials, and functionality on the platform are the exclusive property of Master Up (Shree Shyam Enterprises) and are protected under applicable intellectual property laws.

6.2. You may not distribute, modify, transmit, copy, download, reproduce, or use any content for commercial purposes or personal gain without our express written permission.

6.3. User-Generated Content: If you post content on our platform, you grant us a non-exclusive, royalty-free, worldwide license to use, modify, display, and distribute that content.

7. Prohibited Conduct

You agree to use the Services only for lawful purposes. You must not:

• Violate any national or international laws or regulations;

• Infringe upon the intellectual property rights of others;

• Engage in any behavior that is harmful, fraudulent, abusive, or disruptive to the platform's operations.

8. Disclaimers & Limitation of Liability

8.1. Educational Purpose Only: All courses are provided solely for educational and skill-development purposes. We do not guarantee the accuracy, completeness, or reliability of the research-based information provided.

8.2. Income Disclaimer: MasterUp is not a “get-rich-quick” program. There is no guaranteed, fixed, or assured income. Any earnings or success depend entirely on individual effort, dedication, expertise, and market conditions.

8.3. “As Is” Basis: The platform and Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.

8.4. No Liability: We are not liable for the success or failure of any User’s business activities resulting from the use of our products or Services.

9. Third-Party Links & Services

Our website may contain links to third-party websites or services. We do not control, warrant, or assume responsibility for the content, privacy policies, or practices of any third-party platforms.

10. Governing Law & Jurisdiction

10.1. These Terms are governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872.

10.2. Any disputes or claims arising under these Terms are subject to the exclusive jurisdiction of the courts of Haryana, India.

We reserve the right to modify or replace these Terms at any time. Continued use of the Services after any changes constitutes acceptance of the revised Terms.
